Terminology used within this document:
a) ‘We Design London’ or ‘We’ or ‘Us’ applies
to the business We Design London, its employees and owner.
b) ‘Work’, ‘Works’ or ‘Project’ is
any work undertaken or service provided by We Design London for the Client on their request,
which are also detailed in the Confirmation of Order email and/or document.
c) A ‘Client’ or ‘You’ or ‘Your’ is
a person, persons, business or organisation using any of the work, website,
projects or services provided by We Design London.
d) ‘Confirmation of Order’ email, document
or invoice is the email, document or invoice supplied to the Client, which
includes all work that will be carried out at the request of the Client for the
stated total Project Fee.
e) The ‘Deposit’ is 50% of the total
quoted project fee for work undertaken by We Design London at the request of the

terms and conditions
- By working with We Design London you
agree to be bound to all the Terms and Conditions set out on this page and
website (the ‘Agreement’). Please read these Terms and Conditions
- We have the right to amend our Terms and Conditions at any time. Any changes will be made via this website.
- The Works that will be carried out for the Client will be confirmed in the We Design London Confirmation of Order email and/or document. Once We Design London receives the Deposit from the Client, this contract becomes legally binding and all monies owed for the Work carried out must be paid in full on completion and handover.
Fees and Payment
- We Design London requires 50% of the total quoted project fee (the ‘Deposit’) to be paid
before any Work commences. The final 50% of the total quoted fee plus any
additional fees that have accrued during the Development Process must be paid
on completion of all Works. The handover of the project files or the launch of
the website in ‘Live Mode’, will only take place when the remaining
outstanding balance of payment is paid and received in full.

- After the start of the first
stage of the 'Development Process', the Client loses all right for refunds
for any payments already made. Any refund will be at the sole discretion
of We Design London. Once the Client has approved the third stage of the
Development Process, 'Design', as set out on this website, then the Client
is fully liable to pay for the complete amount of the project cost agreed
in the Confirmation of Order document. If a Project is cancelled or
postponed after the start of the third stage, all outstanding payments for
all work completed beyond what was already paid for must be paid by the

Deposit to the Client if the Project does not go ahead on account of
We Design London.
- Invoices will be sent by email.
We can send you an invoice by post but please do bear in mind we are
trying to be as green as possible.
- The Deposit payment the Client
makes includes an annual Hosting fee for the first year for the Client’s
one website as well as one domain name registration if required. You have
the right to cancel Your web Hosting at any time but You will not be
refunded any losses incurred. In order for Hosting to continue beyond the
first year, the Client takes full responsibility for paying for annual
Hosting thereafter in order to keep the website active.
- We Design London cannot guarantee, at any time, that Hosting (and thus visibility of or access
to the client's website online) will be always available and cannot be held
responsible for any problematic issues associated with the hosting server or
problems associated with the Internet and/or any telecommunications network.
We Design London shall have no liability for any loss or damage caused to the Client due
to any viruses, worms, Trojan horses or other similar devices.
- We Design London has the right to
amend its prices at any time. Current Clients will be notified of any such
changes in advance.
Work, Project, Website and any code or design undertaken by We Design London at the
request of the Client is fully owned by We Design London until after total payment
has been received in full and the Project or Works are complete and handed over
to the Client. Thereafter, the Project or Website is owned by the Client. We Design London will ensure that the Website will be working fully on handover.
- We Design London has the right to
amend any information on the websites it builds at any time. The Client
will always be notified in advance if this is the case.
- We Design London cannot be held responsible
for any content in the Client’s website. The Client will take full legal
responsibility for all content on the Client’s website.
- We Design London expects that the Client
will undertake all necessary research before proceeding to pay for a website,
product or service from We Design London. This includes ensuring that the Client’s
business, project or idea which also encompasses any content provided to We Design London is fully viable and compliant within UK law and/or
the law residing in the Client's geographical jurisdiction or any
jurisdiction within which the Client’s Website or Project is actively
promoted. It is imperative that the business, project or idea is not
illegal in any way.
- We Design London cannot be held responsible
for any external links You may wish to have on Your website. Anyone who
clicks on external links does so at their own risk.
- Any files, images, text, logos
or business ideas taken by the Client from another website, individual or
company that is not personal to them and given to We Design London to be
included on the Client's website is strictly prohibited. We Design London will
not be held responsible nor liable for such acts should they occur as the
Client will take full legal responsibility.
- We Design London may purchase images
to be included on the Client's website. The Client is strictly prohibited
from using these images in any other separate project or website. We Design London will not be held liable for any misuse, copying, altering or distribution
of these images by the Client and/or any other person.
- We reserve the right to refuse
the implementation of any abusive content on any website we build. This
includes, but is not exclusive to, any offensive content or images
relating to torture, pornography, drugs and violence as well as those of
an offensively racial or religious nature.
- We provide a service to update Your
website as and when required. Minor changes, such as amendment to small
amounts of text or changing an image, for instance, are free of charge.
Any greater amendments beyond this will incur a fee and payment of this service
will be agreed with the Client before any such updates have been made.
Indemnities and Limitation of Liability
- We Design London and its affiliates,
agents, employees and third party providers cannot be held responsible nor
liable for any loss or negative impact on the Client's business operations,
sales, profitability, cash flow, expenses including solicitors/legal fees, operating
time, use, opportunity, reputation, data, whether actual or anticipated, that
the Client claims is a result of a website, product or service provided by
We Design London. We Design London cannot be held liable for any indirect or
consequential loss or damages howsoever caused that results from the use
of, or the inability to use, services, products or websites provided by
We Design London, even if such parties have been advised of the possibility of
such damages. In the event that a court or arbitration panel, as the case
may be, should hold that the limitations of liability or remedies
available as set forth in the Agreement or any portions thereof, are
unenforceable for any reason, or that any of the Client’s remedies under
this Agreement fail, then the Client expressly agrees that under no
circumstances will the total, aggregate liability of We Design London and any of
its third party service providers, employees, distributors, agents or
affiliates, to the Client or any party claiming by or through the Client for
any cause whatsoever exceed the Deposit or entire project cost, regardless
of the form of action and whether in contract, statute, tort or otherwise.
- The Client shall indemnify and
keep We Design London fully indemnified against any and all third party claims
of infringement of intellectual property rights affecting the Client’s content
on the Website or Project or the Hosting services.
- Should the client require Search
Engine Optimisation, We Design London will duly provide such a service but we do
not guarantee any level of high ranking or specific placement on any search
- We may terminate this Agreement
and the Agreement set out in the Confirmation of Order document forthwith
if You fail to pay any sums due to us as they fall due.
- We may terminate this agreement
upon written notice if You breach any of these Terms and Conditions and You
fail to correct the breach within seven (7) days following written notice
from Us specifying the breach or if You are a company and go into
insolvent liquidation or if you are a person and You are declared bankrupt.
- On termination of the agreement
We shall be entitled to immediately block your Website and to remove all
data located on it. If the breach is not corrected within seven (7) days,
We will be entitled to delete all data located on Your website.
- Upon acceptance of the Website
by the Client, the Client shall procure and maintain a hyperlink from the
Website homepage to We Design London’s homepage in the form of “Site developed by
We Design London” or similar agreed form.
- Upon acceptance of the Website by
the Client, the Client shall allow examples of the finished Project or
Website to be showcased on the We Design London website.
- Neither party, the Client or We Design London, shall be permitted to refer to their working relationship or discuss
the Project in any press or publicity, without first obtaining the written
approval of the other Party to the content of the disclosure.
Party shall use the other Party’s confidential information for any purpose
other than to perform its obligations under this Agreement.
